1. Eligibility and Wholesale Accounts

2. Products and Availability

We make reasonable efforts to provide accurate product descriptions, images, pricing, packaging, and availability. However, packaging, specifications, inventory, pricing, and minimum order quantities may change without notice.

3. Orders and Pricing

Orders are subject to inventory availability, payment verification, supplier restrictions, and final acceptance by Upsell Wholesale.
We may reject, limit, correct, or cancel an order before shipment due to inventory shortages, pricing errors, payment issues, suspected fraud, shipping restrictions, or compliance concerns.

4. Payments

5. Shipping and Delivery

Shipping and delivery dates are estimates unless expressly guaranteed in writing. Customers must provide a complete and accurate shipping address and may be responsible for costs caused by incorrect information, refused deliveries, or shipment redirection. We are not responsible for delays caused by carriers, customs, weather, suppliers, government action, or circumstances outside our reasonable control. 6. Cancellations, Returns and Refunds

Orders may be cancelled only in accordance with our Cancellation Policy. Once an order has shipped, the payment is non-refundable except where required by law or expressly permitted under our Return & Refund Policy. Products must not be returned without prior written authorization. Opened, used, altered, relabeled, improperly stored, special-order, clearance, perishable, or customer-damaged products may not qualify for return. Marketplace rejection, low sales, listing restrictions, or failure to achieve an expected profit does not automatically make a purchase eligible for a refund. 7. Invoices and Supply-Chain Documentation

Eligible purchases may include commercial invoices and relevant supply-chain documentation. The availability and type of documentation depend on the product, supplier, brand, order, and applicable disclosure restrictions.
Customers may not alter, falsify, duplicate, sell, publish, or misuse any invoice or document. Documentation may be used only for products and quantities genuinely purchased by the named customer.
Misuse of documentation may result in account termination and may be reported to the relevant marketplace, supplier, brand, financial institution, or legal authority.

8. Marketplace Decisions and Services

Amazon, Walmart, and other marketplaces operate independently and make their own approval and enforcement decisions.
Upsell Wholesale does not guarantee:
Brand or category approval
Acceptance of an invoice or document
Account reinstatement
Listing approval or reactivation
Continued marketplace eligibility
Sales, profit, ranking, revenue, or return on investment
Marketplace rejection does not automatically qualify a product or service for a refund.
Consulting, preparation, sourcing, ungating, reinstatement, educational, or account-management services may be subject to additional written terms. Unless expressly agreed otherwise, service outcomes are not guaranteed.

9. Customer Responsibilities

Customers are responsible for:
Providing accurate business, billing, shipping, and marketplace information
Maintaining required registrations, permits, licenses, and tax documents
Determining whether products may legally be purchased, stored, imported, advertised, or resold
Following manufacturer, marketplace, federal, state, and local requirements
Maintaining appropriate product-storage and handling conditions
Creating lawful and accurate product listings and marketing claims
Customers must not alter manufacturer labels, expiration dates, lot codes, serial numbers, warnings, or regulatory information unless legally permitted.

10. Confidentiality and Intellectual Property

Non-public supplier information, pricing, product lists, invoices, documentation, sourcing methods, and service materials may be confidential. Such information may not be sold, published, or disclosed to unrelated third parties without written permission. The Website, Upsell Wholesale logo, original content, designs, photographs, training materials, and business materials are owned by or licensed to Upsell Wholesale. They may not be copied, modified, sold, or commercially used without written authorization. Third-party trademarks and product names remain the property of their respective owners.
